Definitions. The term “Agreement” means all pages including these Terms and Conditions. "CafeVisions" means CafeVisions LLC. The term "School" means the School District identified on the signup form submitted and campuses that have submitted a completed Campus Signup or extended access to CafeVisions via their associated School District.
Acceptance and Agreement. This Agreement, executed by School and accepted by CafeVisions℠ constitutes a valid and binding agreement between CafeVisions and the School. In the event of any conflict between these Terms and Conditions and any terms inserted or asserted by the School, these Terms and Conditions shall govern.
Content. CafeVisions agrees to provide School with access to its content delivery platform (“Platform”) for the purpose of school announcements and distribution of relevant digital content such as, but not limited to, public service information, educational related content, career/university content, and other like digital content (collectively, “Content”). School may restrict or remove Content that School, in its sole discretion, believes is not suitable or otherwise not appropriate. The Content provided by CafeVisions is owned exclusively by the relevant third-party Content provider. CafeVisions grants School a non-transferable, non-exclusive license to use the Content solely in connection with this Agreement. CafeVisions may identify School when interacting with Content providers and retain related fees.
Platform. CafeVisions hereby grants School a non-exclusive, non-transferable right to access and use the Platform during the Term (defined below), solely for use by authorized users. Such use is limited to School's internal use. CafeVisions reserves all rights not expressly granted to School in this Agreement. Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, to School or any third party any intellectual property rights or other right, title, or interest in or to the Platform or Content. School may be required to agree to terms upon login to the Platform. CafeVisions shall be the sole and exclusive owner of any suggestions or feedback provided by School or any of its employees or contractors related to the Platform and/or Content. School is responsible and liable for all uses of the Platform resulting from access provided by CafeVisions, directly or indirectly, whether such access or use is permitted by or in violation of this Agreement, including publishing Content.
School Responsibilities. School agrees to setup and allow Content, as approved by School, to be broadcast on its available televisions, monitors, and other like digital hardware (“Screens”) across the campuses. School agrees to configure School equipment and Screens for use of the Platform, including network configuration and white listing, as required, and alert CafeVisions to any issues impacting display of Content at campuses. School is solely responsible for its Screens and setup.
Term. The term of this Agreement is effective as of the date it is accepted by CafeVisions and will continue in effect for a period of 12 months (as renewed or extended, the “Term”). Thereafter, the Term will automatically renew for subsequent terms of 12 months unless either party elects not to renew the Term by providing written notice to the other party at least 60 days’ prior to the end of the then current Term. Upon expiration or earlier termination of this Agreement, School shall immediately discontinue use of the Platform and promptly destroy any copies of Content made by School.
No Warranties. The Platform is provided "AS IS" and CafeVisions specifically disclaims all warranties, whether express, implied, statutory, or otherwise. CafeVisions makes no warranty of any kind that the Platform will operate without interruption, be compatible or work with any of the School’s or any third party's software, system, or other services, or be secure, accurate, complete, or error-free, or that any errors or defects can or will be corrected.
Limitations. IN NO EVENT SHALL EITHER PARTY BE LIABLE UNDER THIS AGREEMENT TO THE OTHER PARTY OR ANY THIRD PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF, OR RELATING TO, AND/OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE, WHETHER OR NOT IT WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.
Miscellaneous. Entire Agreement. This Agreement constitutes the sole and entire agreement of the parties with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter. Severability. All provisions of this Agreement are severable. Modifications; Waivers. This Agreement may not be altered, amended or changed in any way except by a written instrument executed by both parties. No waiver of any rights or obligations shall be implied. No Third-party Beneficiaries. This Agreement benefits solely the parties to this Agreement and nothing in this Agreement, express or implied, confers on any other person any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of this Agreement. Force Majeure. Each party will be excused for conditions beyond the reasonable control of that party. Governing Law; Venue. This Agreement shall be governed by Texas law without regard to its conflict of law provisions. Each party hereby irrevocably submits to the exclusive jurisdiction of the state and federal courts sitting in Dallas County, Texas for the adjudication of any dispute hereunder or in connection herewith or with any transaction contemplated hereby or discussed herein. Counterparts. This Agreement may be executed in counterparts, each of which is deemed an original, but all of which together are deemed to be one and the same agreement.
